    Post Dallas Officer Nominations for 2009 - Closed

    This thread is Closed for Nominations.

    Nominations will be held from 10/1/08 - 10/31/08 for the 2009 calendar year officers. The purpose of this thread is to act as our nomination platform. In order for a member to be officially nominated, a member must nominate a person with a second of any other member. We typically ask if you have been nominated to either accept or decline that nomination to be placed on the ballot for voting in November.

    Below are the sections of the Bylaws that outline Voting Rights, Nomination, Election, and Officer Positions and Duties.

    12. VOTING RIGHTS
    Each member in good standing shall be entitled to one vote.

    18. NOMINATION OF OFFICERS
    At any meeting at which the election of an officer occurs, a member in good standing may nominate a person with the second of any other member in good standing.

    19. ELECTION OF OFFICERS
    A person who meets any qualification requirements to be an officer and who has been duly nominated may be elected as an officer. Officers shall be elected by the vote of the membership of the Corporation at the annual meeting of the membership. Each officer shall hold office until a successor is elected and qualified. An officer may be elected to succeed himself or herself. Voting shall be by paper or electronic ballot with a simple majority required to win. In the event of a tie, a runoff election shall be held, again determined by a simple majority.

    25. OFFICER POSITIONS
    The officers of the Corporation shall be (in order of succession) Chapter President, Chapter Vice President, Chapter Secretary, Chapter Treasurer, Chapter Webmaster, and Chapter Ride Master. The Membership may define the authority and duties of each such position, and elect or appoint persons to fill the positions. Any two of more offices may be held by the same person, except for the offices of president and secretary.

    a. CHAPTER PRESIDENT - The Chapter President shall:
    1. Be the chief executive officer of the Corporation
    2. Supervise and control all of the business and affairs of the Corporation
    3. Preside at all meetings of the members and of the Membership
    4. Execute any deeds, mortgages, bonds, contracts, or other instruments that the Membership has authorized to be executed. Note: The Chapter President may not execute instruments on behalf of the Corporation if this power is expressly delegated to another officer or agent of the Corporation by the Membership, the Bylaws, or statute.
    5. Perform other duties prescribed by the Membership and all duties incident to the office of Chapter President

    b. CHAPTER VICE PRESIDENT - The Chapter Vice President shall:
    1. Perform duties of the Chapter President when the Chapter President is absent, is unable to act, or refuses to act.
    2. Perform other duties as assigned by the Chapter President or by the Members.
    3. Perform all duties incident to the office of Chapter Vice President.

    c. CHAPTER SECRETARY - The Chapter Secretary shall:
    1. Give all notices as provided in the Bylaws or as required by law.
    2. Take minutes of the meetings of the members and keep the minutes as part of the corporate records.
    3. Maintain custody of the corporate records and of the seal of the Corporation.
    4. Affix the seal of the Corporation to all documents as authorized.
    5. Keep a register of the mail address of each member, officer, and employee of the Corporation.
    6. Perform duties as assigned by the Chapter President or by the Members.
    7. Perform all duties incident to the office of Chapter Secretary.

    d. CHAPTER TREASURER - The Chapter Treasurer shall:
    1. Have charge, and custody of and be responsible for all funds of the Corporation.
    2. Receive and give receipts for moneys due and payable to the Corporation from any source.
    3. Deposit all moneys in the name of the Corporation in banks, trust companies, or other depositories as provided in the Bylaws or as directed by the Membership or Chapter President.
    4. Write checks and disburse funds to discharge obligations of the Corporation.
    5. Maintain the financial books and records of the Corporation.
    6. Prepare financial reports at least annually.
    7. Perform the duties of the Chapter Secretary, in the event no other General Member holds that position.
    8. Perform other duties as assigned by the Chapter President or by the Members.
    9. Perform all of the duties incident to the office of Chapter Treasurer.

    e. CHAPTER WEBMASTER - The Chapter Webmaster shall:
    1. Maintain the Corporation Internet presence.
    2. Coordinate with Webmaster representatives from similar Corporations; such as other Chapters of the Texas Sport Bike Association.
    3. Perform other duties as assigned by the Chapter President or by the Members.
    4. Perform all of the duties incident to the office of Chapter Webmaster.

    f. CHAPTER RIDE MASTER - The Chapter Ride Master shall:
    NOTE: there may be more than one General Member functioning in this officer position.
    1. Plan, organize and execute special events and activities for the Chapter.
    2. Plan, organize and execute regularly schedules rides for the Chapter.
    3. Perform other duties as assigned by the Chapter President or by the Members.
    4. Perform all of the duties incident to the office of Chapter Ride Master.

    The rest are just token positions that can be filled by sub-humans, so whoever is dumb enough not to take a step back can fill those.

    I looked and couldn't find anything. It does say that there are certain responsibilities, but that those responsibilities would be handled by the VP if the Pres was unable to meet those needs. (25A and 25B)

    Thus, in your case or mine, the VP would be the functional equivalent of the Pres, but the Pres would still have a vote and signature power.

    Of course, I might have missed something somewhere.
